Welcome to Living Well With Shell. These Terms of Service govern your access to and use of https://www.livingwellwithshell.com and all related services, programs, coaching, digital products, memberships, communities, and communications provided by Living Well With Shell, referred to as “Company,” “we,” “our,” or “us.”
By accessing this website, enrolling in programs, participating in coaching, joining any community, or purchasing any product or service, you agree to be legally bound by these Terms of Service. If you do not agree, you must discontinue use immediately.
1. Eligibility
You must be at least 18 years of age and legally capable of entering into binding agreements to use this website or engage in services.
2. Scope of Services
Living Well With Shell provides mindset coaching, educational programs, community memberships, digital courses, podcast content, consulting, and personal development resources.
All services are for educational and personal development purposes only. They are not medical, psychological, financial, or legal advice and do not replace licensed professional services.
3. Coaching Agreements and Acceptance by Conduct
Clients may be provided with a separate Coaching Agreement outlining scope, payment terms, scheduling policies, cancellation rules, confidentiality, and additional terms.
If a client participates in any coaching session, consultation, program, or paid service after being provided access to the Coaching Agreement, such participation constitutes full acknowledgment and acceptance of that agreement.
Engagement in services after receiving access to the Coaching Agreement shall be deemed the legal equivalent of signing the agreement in writing.
Acceptance may occur through conduct, including booking, attending, or paying for services.
4. Digital Programs and Online Courses
Enrollment in digital programs or online courses grants you a limited, non transferable, non exclusive license to access the materials for personal use only.
You may not share login credentials, distribute materials, reproduce or resell content, or record or duplicate program materials.
We reserve the right to revoke access for violation of these terms without refund.
Unless otherwise stated in writing, all digital program purchases are non refundable.
5. Community Memberships Including Skool Platform
Living Well With Shell may operate private or paid communities including but not limited to platforms such as Skool.
Members agree to engage respectfully, refrain from harassment or disruptive conduct, avoid promoting competing services without permission, and maintain confidentiality of other members’ disclosures.
We reserve the right to remove members at our discretion without refund.
Membership fees may renew automatically unless cancelled prior to renewal.
6. Payments and Refunds
All fees are due as stated at purchase.
Unless explicitly stated otherwise in writing, all payments are non refundable.
Failure to complete payment obligations may result in suspension or termination of services.
You authorize us to charge your designated payment method for agreed services and recurring memberships.
7. Scheduling and Cancellations
Scheduling and cancellation terms may be outlined in a separate Coaching Agreement.
Missed sessions may be forfeited unless otherwise specified in writing.
8. Intellectual Property
All content including text, graphics, logos, images, audio, video, downloads, course materials, branding, and frameworks is the exclusive property of Living Well With Shell.
Unauthorized reproduction or distribution may result in legal action.
9. Media Release and Recording Consent
Participation in coaching sessions or group calls may be recorded.
By participating, you grant permission for recordings or testimonials to be used for marketing or educational purposes unless confidentiality is requested in writing.
Confidential one on one sessions will not be publicly released without explicit consent.
10. Disclaimers
All services are provided as is without warranties.
We do not guarantee specific results.
Outcomes depend on individual effort and circumstances.
11. Limitation of Liability
Living Well With Shell shall not be liable for indirect or consequential damages.
Total liability shall not exceed the amount paid for the specific service.
Your sole remedy for dissatisfaction is discontinuation of services.
12. Indemnification
You agree to indemnify and hold harmless Living Well With Shell from claims arising from misuse of services.
13. Third Party Platforms
We are not responsible for policies or outages of third party platforms used in delivering services.
14. Binding Arbitration
Disputes shall be resolved through binding arbitration in Ontario, Canada.
You waive the right to participate in class action claims.
15. Governing Law
These Terms are governed by the laws of Ontario, Canada.
16. Modifications
We reserve the right to modify these Terms at any time.
Continued use constitutes acceptance of revised Terms.
